The following terms and conditions apply to any services provided by Tulipe Limited and will be binding on the Client. Please read them carefully and let us know if you have any questions.

Definitions:

1. In this document, the following expressions have the following meanings:

“We” or “Us” means Tulipe Limited, with a registered address of 15 Hares Lane, Hartley Wintney, trading as ‘hart.directory’

2. The Client means the person or company who expressly or otherwise accepts a verbal or written quotation from us for advertising, online directory listing, design services, or any other service that may be offered at the time.

3. Social Media Booster Exclusions

Hart.directory will not like, repost or comment on any content that poses a risk of harm, promotes illegal activities, infringes on intellectual property, or creates an unsafe and disrespectful environment. 

4. Prohibited Content Categories

Content that is not acceptable falls into several core categories:

• 4 a. Violence and Criminal Behavior: Posts cannot depict or coordinate serious harm. This includes:
  • Content that facilitates, incites, or coordinates violence.
  • Promotion of terrorism, organized crime, or hate groups.
  • Content related to human trafficking or the illegal trade of regulated goods like non-medical drugs, firearms, ammunition, and explosives.
• 4b. Safety and Self-Harm: Content that poses a genuine risk to public or personal safety. This includes:
  • Threats of physical harm or credible threats to others.
  • Content that glorifies or encourages suicide and self-injury, or depicts severe physical injury and abuse.
  • Content involving child nudity and sexual exploitation of children.
• 4c. Objectionable Content: Content that is hateful, demeaning, or highly graphic.
  • Hate Speech: Direct attacks on people based on protected characteristics like race, ethnicity, national origin, religious affiliation, sexual orientation, gender, or disability.
  • Bullying and Harassment: Content intended to degrade, shame, or maliciously target private individuals.
  • Graphic Violence: Glorifying violence or celebrating the suffering of others is prohibited. Newsworthy or awareness-raising graphic content may be allowed with a warning screen for adult viewers.
  • Adult Nudity and Sexual Activity: This includes photos of sexual activity or explicit images.
• 4d. Integrity and Authenticity: Misinformation and fake accounts.
  • Spam: Repetitive posts, irrelevant links, or content that uses misleading information to gather likes or followers.
  • Misrepresentation: Using fake or impostor profiles to misrepresent who you are.
  • False News/Misinformation: Misinformation that could lead to physical harm (such as specific misleading medical claims).
• 4e. Privacy: Your post must respect personal privacy.
  • Sharing another person's private information (address, phone number) without their consent. 

5. Tulipe Limited is not liable for any copyright, trademark, or legal disputes arising from client-provided content. The client agrees to indemnify and hold us harmless from any claims, damages, or costs related to their advertisement provided.

Liability

6 In the event of a breach of contract, our maximum liability will be the total value of the order. We will not be held liable for any associated costs incurred by the Client.

7. Our contractual terms are between us and the Client. We will not be held liable or made party to any claims made by clients or end users as a result of using the Client’s products or services. We provide no warranty for any products sold or service rendered.

Contract and Payments:

8. Payment for our services shall be made by BACS or Direct Debit, unless otherwise agreed, in advance of our services being supplied.

9. We reserve the right to refuse promoting posts if payment is not received in accordance with section 9 of this agreement.

10. Payment is defined as ‘cleared funds'.

11. If the booking is provided with an annual discounted rate but the client cancels before completing the annual contract, we reserve the right to invoice the difference between any discounted rate charged and the full published prices retrospectively for the consumed period of the service.

12. If the booking is cancelled, suspended, or changed in any way, and then restarted later, we have the right to charge the appropriate rate based on current published prices at the time.

13. Without prejudice to any other rights of Tulipe Limited, if the client fails to pay the invoice price by the due date the client shall not be allowed any discount given in that invoice or in any other way agreed and shall pay interest on any overdue amount from the date when payment was due to the date of actual payment. We reserve the right to claim statutory interest at the current Bank of England base rate + 3%. Such interest shall be paid on demand. We shall charge such costs, charges and expenses as may be agreed to enforce the contract.

14. Unless otherwise stated all such charges and prices quoted are exclusive of VAT.

15. We reserve the right to pass outstanding invoices to an appointed debt recovery service provider.

16. The Client agrees that these Terms and Conditions are subject to the laws of England and Wales. The Client agrees to bring any enforcement action for a breach of contract solely in such jurisdiction. Should it be determined that any clause within the Terms & Conditions are regarded as unenforceable, the Client agrees that the remaining terms remain enforceable.
